Introduction
Vital Cash Flow purchases a portion of your restaurant's future sales at a discounted rate. In return, your restaurant can access Clickgrub's AI-powered CRM, eCommerce, and Gift Card Systems. This means your restaurant receives Clickgrub as a bonus for selling a percentage of your future sales to Vital Cash Flow, up to our discount amount of $2,500 per purchase.

Clickgrub AI-powered CRM and eCommerce Terms of Service
By using our services, you agree to abide by the following terms and conditions, designed to ensure a safe, fair, and enjoyable user experience at no cost to you.
Your free online ordering system will be operational within ten business days after Vital Cash Flow completes 14 days of collecting their purchase of your future sales. Additionally, you'll receive our AI-powered CRM at no cost, up to the value of the purchase discount. A 15% menu markup covers eCommerce development, site hosting, SSL certificates, updates, maintenance, support, integration, security, transaction and gateway fees, local SEO, and paid advertising.
Provide us with your restaurant's dine-in, take-out, delivery, curbside, and catering information, and we'll handle the rest. After Vital Cash Flow collects their purchase of your future sales for a whole calendar month, we'll send you $500 in paid orders as a bonus. Please allow up to 4 to 6 weeks after meeting this order threshold for the $500 in paid orders to be processed through your FREE online ordering system with Clickgrub.
The AI-powered CRM subscription includes the following monthly allowances: 255 SMS messages, 65 AI segments, 235 incoming call minutes, 145 outgoing call minutes, or 1,470 emails. Unused credits will roll over to next month. Additional fees apply after these allowances are exceeded: $0.05 per call minute or text, $0.16 per AI execution, and $0.01 per email.
Please read these Terms carefully before using our platform and services. By accessing or using Clickgrub, you agree to be bound by these Terms. Do not use our platform or services if you disagree with these Terms.
Account Ownership: When creating an account on Clickgrub, you must provide accurate and complete information. The person creating the account will be considered the account owner unless it is created on behalf of a business entity, in which case the business entity will be the account owner. If you register on behalf of a business, you confirm that you have the authority to bind the company to these Terms. The Free Online Ordering System is free for the lifetime of the online ordering account. Any one-time fee services will not incur additional costs if an active AI-powered CRM account is available for ongoing maintenance, updates, and support.
Intellectual Property: All websites, domain names, advertising accounts, custom audiences, affiliate programs, social media accounts, AI-powered CRM and training, landing pages, images, targeting, copy, ads, information guides, phone numbers, newsletters, training documents, scripts, reports, and any other materials, systems, offer brand names, technology, or distribution channels deployed, shared, created, or used during this agreement shall remain the exclusive property of Clickgrub, regardless of any input or contribution from the Client in their development. The inquiries, sales, orders, appointments, reservations, opportunities, and customer database generated as part of our system will always be owned exclusively by the Client.
Lawful Use: You agree to use Clickgrub only for lawful purposes. You are responsible for ensuring your platform complies with all applicable laws and regulations. You must not use our platform to engage in any prohibited activities, including but not limited to fraud, harassment, or any activity that could harm others.
Privacy: Your privacy is important to us. By using Clickgrub, you consent to our collection, use, and sharing of your information as described in our Privacy Policy. You also agree to implement and maintain a privacy policy for your customers that protects at least equal to our Privacy Policy. Ensure that your customers are aware of and consent to your privacy practices.
Security: You are responsible for maintaining the confidentiality of your login credentials and all activities under your account. Notify us immediately if you suspect any unauthorized access to your account. We reserve the right to deactivate your account if we believe it has been compromised.
Communication Services: Clickgrub may provide communication tools like SMS, email, and voice call capabilities. You are responsible for all communications sent using these tools and must comply with applicable laws, including the Telephone Consumer Protection Act (TCPA) and the CAN-SPAM Act. Clickgrub is not responsible for your compliance with these laws.
Third-Party Services: Our platform may include access to third-party services. Clickgrub is not responsible for the usability or availability of these services. If you pause or delete your account, specific features, such as assigned phone numbers or email addresses, may not be retrievable upon reactivation.
Content: You retain ownership of the content you post on Clickgrub. However, by posting content, you grant us a non-exclusive, royalty-free license to use, reproduce, modify, and distribute your content. You are responsible for ensuring that your content does not infringe on third-party rights and complies with all applicable laws.
Taxes: You are responsible for all applicable taxes and governmental fees. We may collect taxes on your behalf as required by law.
Refunds: Except as required by law, all fees are non-refundable. If you cancel your subscription, you can access the service until your current billing period ends. We reserve the right to issue or deny refunds at our sole discretion.
Overdue Payments: We may suspend or terminate your access to Clickgrub if we cannot process your payment. You are responsible for any fees or charges incurred due to overdue payments.
Termination by Us: We may suspend or terminate your account at our discretion, with or without notice, if we believe you have violated these Terms or engaged in fraudulent or illegal activities.
Effect of Termination: Your right to use Clickgrub will immediately cease upon termination. However, any provisions of these Terms that should survive termination will survive, including ownership provisions, warranty disclaimers, and limitations of liability.
Governing Law: These Terms are governed by the laws of the State of Florida without regard to its conflict of law principles. Any disputes arising from these Terms will be resolved in the courts of Florida.
